How we protect your privacy, what data we collect, and your rights over your information. Your data always belongs to you, not us.

These Terms and Conditions ("Terms") govern your access to and use of CeyPay and related services provided by Ceylon Cash (Private) Limited ("Ceylon Cash", "CeyPay", "we", "us", "our"), including our websites (such as ceypay.io and related pages), merchant dashboards and payment interfaces.
By accessing or using CeyPay, creating an account, or accepting payments through CeyPay, you agree to be bound by these Terms. If you do not agree with these Terms, you must not use CeyPay.
1. About CeyPay
CeyPay is a payment solution that enables merchants to accept digital asset and other supported payment methods and receive settlement in specified currencies (such as LKR) through our network of partners and service providers.
CeyPay does not provide investment, trading or financial advisory services. CeyPay is provided solely as a payment and settlement service.
2. Eligibility
- You must be at least 18 years old and have the legal capacity to enter into binding agreements to use CeyPay.
- If you are using CeyPay on behalf of a business, organisation or other legal entity:
- You represent and warrant that you are authorised to bind that entity to these Terms.
- "You" and "your" will refer to that entity. - You must comply with all applicable laws and regulations in your jurisdiction when using CeyPay.
3. Account registration and security
- To use CeyPay as a merchant, you must complete the registration and onboarding process and provide accurate, current and complete information, including any KYC/verification information we request.
- You are responsible for:
- Maintaining the confidentiality of your login credentials and any authentication methods
- All activities that occur under your account - You must notify us promptly if you believe your account has been accessed without authorisation or if your credentials have been compromised.
- We may refuse, suspend or terminate an account or onboarding application at our discretion, including for risk, compliance or operational reasons.
4. Merchant use of CeyPay
If you are a merchant using CeyPay:
- You are solely responsible for:
- Your products and services
- Your pricing, terms of sale, refunds and customer support
- Any content or information you provide or display to customers - You must clearly inform your customers that CeyPay is used as a payment method and that their contractual relationship for goods and services is with you, not with CeyPay.
- You agree to:
- Honour valid transactions and provide goods/services as promised
- Maintain your own refund, cancellation and complaints processes
- Comply with all consumer protection, tax and other laws that apply to your business - You must not:
- Use CeyPay for any illegal, high-risk or prohibited activities (see section 9)
- Misrepresent CeyPay's role, features or guarantees to your customers
5. Customers using CeyPay to pay merchants
If you are a customer paying a merchant using CeyPay:
- Your purchase contract is with the merchant, not with CeyPay. We facilitate payment and settlement only.
- Questions about:
- Products or services
- Delivery, quality or suitability
- Returns, refunds or cancellations
must be directed to the merchant. - You are responsible for ensuring:
- The accuracy of payment details before confirming a transaction
- That you understand the merchant's own terms, policies and pricing - Transactions confirmed on-chain or through the supported payment method may not be reversible. You should check all details carefully before proceeding.
6. Payments, settlement and fees
- CeyPay may support multiple payment methods and digital assets. Supported options may change from time to time.
- When a customer completes a payment using CeyPay:
- CeyPay and/or its partners will process the payment
- CeyPay will arrange settlement to the merchant in the agreed currency (for example LKR) and within the applicable timelines, subject to risk checks, partner processing and network conditions - Fees:
- CeyPay may charge merchants fees for processing and settlement
- Applicable fees, pricing and limits will be communicated separately (for example in your merchant agreement, dashboard or pricing schedule)
- You authorise us to deduct applicable fees from settlement amounts - Taxes:
- Merchants are solely responsible for assessing, collecting, reporting and remitting any taxes related to their use of CeyPay and their underlying sales
- CeyPay does not provide tax advice
7. Digital asset risks
Where digital assets (crypto) are used as part of a payment:
- Digital asset values can be volatile. While CeyPay may provide conversion and settlement services, we do not guarantee any specific exchange rate beyond what is actually applied at the time of conversion.
- Network and protocol risks:
- Transactions may be delayed, failed or become more expensive due to network congestion or technical issues
- Transactions submitted to a blockchain may be irreversible - You acknowledge that:
- You understand these risks
- CeyPay is not responsible for market losses, price movements or network failures outside our reasonable control
8. Third party services
- CeyPay uses third party service providers, including payment processors, liquidity providers, KYC/AML providers, cloud infrastructure and others.
- By using CeyPay, you authorise us to share necessary information with these providers to operate the service, as described in our Privacy Policy.
- CeyPay is not responsible for downtime, errors or failures caused solely by third party providers, but we will take reasonable steps to work with them to resolve issues.
9. Prohibited and Restricted Activities
You agree not to use CeyPay for any purpose that is unlawful, abusive, or otherwise inappropriate. You explicitly represent and warrant that you will not utilize the Services to conduct, facilitate, or support transactions for or on behalf of any of the following Prohibited Businesses or Activities:
- Unlawful Activities under Sri Lankan Law: Any activity that is illegal under the laws of Sri Lanka, including but not limited to drug trafficking, terrorism, money laundering, fraud, tax evasion, or the operation of pyramid/Ponzi schemes.
- Gambling and Betting: Any form of gambling, betting, wagering, gaming, or lottery-related activities, whether legal or illegal in any applicable jurisdiction.
- Counterfeit and Illegal Goods: The manufacture, sale, distribution, or facilitation of counterfeit, stolen, unsafe, or otherwise illegal goods or services.
- Adult Content and Services: The provision, distribution, or facilitation of adult content, pornography, escort services, or sexually explicit services.
- Weapons and Ammunition: The sale, distribution, or facilitation of weapons, explosives, ammunition, or any other restricted or prohibited instruments intended to cause harm to living beings.
- Unregulated Digital Assets and Remittances: The use of virtual asset mixing/tumbling services, privacy coins, or untraceable digital assets, as well as the operation of any unlicensed remittance or money service business (MSB).
- Regulatory Evasion and Sanctions: Structuring or facilitating transactions intentionally designed to evade regulatory reporting requirements, monitoring thresholds, global sanctions, or other applicable compliance controls.
- Shell Entities: Transactions conducted for, or on behalf of, shell entities or complex corporate structures lacking a legitimate, identifiable economic purpose.
- Human Exploitation: Businesses involving the trade, trafficking, or forced labor of living beings, or any form of human exploitation.
- Meat and Slaughter-Related Activities: Businesses involving the production, distribution, processing, or sale of meat or slaughter-related activities.
- Intoxicants and Controlled Substances: Businesses involving the production, distribution, or sale of intoxicants, including alcohol, or narcotic and controlled substances.
- Poisons and Hazardous Materials: Businesses involving the production, distribution, or sale of poisons, hazardous chemicals, or toxic substances.
- Platform Security and Reputational Harm: Any activity that may harm the reputation of CeyPay, its users, or compromise the security and integrity of our systems, including but not limited to cyberattacks (such as DDoS attacks), unauthorized hacking, API abuse, or malicious manipulation of the platform.
By accepting these Terms, you further confirm and certify that all activities conducted by you or your business through CeyPay are lawful, legitimate, and fully compliant with all applicable local and international laws, regulations, anti-money laundering (AML), and counter-terrorism financing (CTF) requirements.
10. Intellectual property
- All content, software, trademarks, logos and other materials related to CeyPay and our websites are protected by intellectual property rights and belong to Ceylon Cash (Private) Limited or its licensors.
- You are granted a limited, non-exclusive, non-transferable licence to use CeyPay and related materials solely for your permitted use of the service.
- You may not:
- Copy, modify, distribute, sell, lease or reverse engineer any part of CeyPay
- Use our trademarks or branding without our prior written consent
11. Service changes, availability and maintenance
- We may modify, update or discontinue any part of CeyPay at any time, including adding or removing features, payment methods or partners.
- We may perform maintenance or upgrades that temporarily affect availability of the service. We will take reasonable steps to minimise disruption where practical.
- We do not guarantee that CeyPay will be available at all times or free from errors, delays or interruptions.
12. Disclaimers
To the maximum extent permitted by law:
- CeyPay is provided on an "as is" and "as available" basis, without warranties of any kind, whether express or implied.
- We do not warrant that:
- CeyPay will be uninterrupted, secure or error-free
- All defects will be corrected
- CeyPay will meet your specific requirements - We do not control and are not responsible for:
- The acts, omissions, products or services of merchants
- The acts or omissions of customers
- The performance of external networks, blockchains or third party providers beyond our reasonable control
Nothing in these Terms excludes or limits any warranty or liability that cannot be excluded or limited under applicable law.
13. Limitation of liability
To the maximum extent permitted by law:
- Ceylon Cash (Private) Limited, its directors, officers, employees and affiliates will not be liable for any:
- Indirect, incidental, special, punitive or consequential damages
- Loss of profits, revenue, business, goodwill or data
arising out of or in connection with the use of, or inability to use, CeyPay. - Our total aggregate liability to you for any claims arising out of or relating to these Terms or CeyPay will be limited to the total fees paid by you to CeyPay in the six (6) months immediately preceding the event giving rise to the claim.
Some jurisdictions do not allow certain limitations of liability. In such cases, the above limitation shall apply to the fullest extent permitted by the law of that jurisdiction.
14. Indemnity
You agree to indemnify and hold harmless Ceylon Cash (Private) Limited, its directors, officers, employees and affiliates from and against any claims, demands, losses, damages, liabilities, costs and expenses (including reasonable legal fees) arising out of or related to:
- Your breach of these Terms
- Your violation of any applicable law or regulation
- Your use of CeyPay, including your products, services, content or interactions with customers or other third parties
15. Suspension and termination
- We may suspend or terminate your access to CeyPay (in whole or in part) at any time, with or without notice, if:
- We reasonably suspect fraud, misuse or unauthorised access
- Required by law, regulation or a competent authority
- You breach these Terms or any applicable policies
- There are risk, security or operational concerns - You may stop using CeyPay at any time. Termination does not:
- Affect any rights or obligations that have already accrued
- Prevent us from retaining information if required by law or for legitimate business purposes
16. Changes to these Terms
- We may update or amend these Terms from time to time.
- When we make material changes, we will:
- Update the "Last updated" date at the end of this document, and
- Where appropriate, provide additional notice (for example via email, dashboard notification or website notice) - Your continued use of CeyPay after changes take effect will constitute your acceptance of the updated Terms. If you do not agree to the changes, you must stop using CeyPay.
17. Governing law and jurisdiction
These Terms and any non-contractual obligations arising out of or in connection with them are governed by the laws of Sri Lanka.
You agree that the courts of Sri Lanka shall have exclusive jurisdiction to resolve any disputes arising out of or in connection with these Terms or your use of CeyPay, without prejudice to any mandatory rights you may have under applicable law.
